Addendum

Deed of assignment of intellectual property rights

This is an addendum to Fire and Lion’s standard terms. It should be printed, completed, and signed by hand.

The Work

Background

Fire and Lion (Pty) Ltd has agreed to assign to the Assignee the intellectual property rights arising from the Work on the terms set out in this addendum.

Interpretation

The definitions and rules of interpretation in this clause apply in this addendum.

Assigned Rights

Any Intellectual Property Rights in the Finished Work which are capable of subsisting or being owned by Fire and Lion, excluding any Intellectual Property Rights in any computer source code contained or embodied in the Finished Work or otherwise used in the computer compilation or rendering of the Finished Work, provided, however, that you shall be licensed to use any such code on an open-source, perpetual, transferable, royalty-free basis.

Finished Work

The Work in its final, published form, including original designs manifest in its appearance, illustrations commissioned specifically for the Work, and text. The Finished Work does not include tools, materials and processes used in or created for the production of the Work, including but not limited to source code; design templates; stylesheets; and unused design concepts, illustrations, and editorial contributions.

Intellectual Property Rights

Patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

Assignment

In consideration of the final settlement of all invoices and monies owed to Fire and Lion in respect of the Work, Fire and Lion hereby assigns to the Assignee absolutely with full title guarantee all its right, title and interest in and to the Assigned Rights.

Effective date

This document takes effect on the date of signature.
